By accessing or using the website located at tekomni.com (the "Site") or engaging TekOmni Consulting LLC ("TekOmni," "we," "us," or "our") for any consulting services, you agree to be bound by these Terms of Service ("Terms"). TekOmni Consulting LLC provides technology consulting, data and AI advisory, business strategy, and growth services to small and mid-sized businesses ("SMBs"). The scope, timeline, deliverables, and fees for any specific engagement will be defined in a separate written agreement or statement of work ("SOW") executed between TekOmni and the client.

Nothing on this Site constitutes a binding offer to provide services. All service arrangements require a signed agreement prior to commencement of work.

3. Use of the Site

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

• Use the Site in any way that violates applicable federal, state, or local law or regulations
• Transmit any unsolicited commercial communications or spam
• Attempt to gain unauthorized access to any part of the Site or its related systems
• Use automated tools to scrape, crawl, or data-mine the Site without our written consent
• Upload or transmit viruses, malware, or any other malicious code

This Site and all information, content, and materials on it are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

TekOmni does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on the Site.

7. Limitation of Liability

To the fullest extent permitted by law, TekOmni Consulting LLC, its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — this Site or our services, even if advised of the possibility of such damages.

In no event shall TekOmni's total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed the greater of (a) the amount you paid to TekOmni in the three months preceding the claim, or (b) one hundred dollars ($100.00).

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Jefferson County, Kentucky.

11. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

12. Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW or client agreement, constitute the entire agreement between you and TekOmni regarding use of this Site and supersede all prior agreements and understandings relating to the same subject matter.
